Terms of Service — United Kingdom

1. Who these terms are between

In the United Kingdom, "Remi" is provided by THE VISIONARY PLATFORM LTD, a company registered in England and Wales (company number 17198186), registered office 167–169 Great Portland Street, 5th Floor, London, W1W 5PF ("we", "us"). By subscribing to Remi (a "Business") or by messaging/calling a business served by Remi (an "End User"), you agree to these terms. These UK terms apply to Businesses established in the United Kingdom and to End Users contacting them.

2. What Remi is

Remi is an AI front-desk assistant that, on a business's behalf, answers calls and WhatsApp messages, books, reschedules and cancels appointments, sends reminders and waitlist offers, and reports activity to the business. Remi is a software service — not a medical provider, and it does not give medical advice.

3. The service, trials and changes

We provide Remi on a subscription basis under the tier the Business selects (Basic, Standard or Complete, plus PaidUp). We may offer a free trial (typically 1 week); at the end of the trial the subscription begins unless the Business cancels. We may improve, change or discontinue features, with reasonable notice of material adverse changes.

4. Fees and payment (Businesses)

Fees are the monthly amounts shown at sign-up (currently Remi Basic £49 / Remi Lite £89 / Remi Standard £149 / Remi Complete £329 per month, plus PaidUp invoice chasing from £19 per month; exclusive of VAT where applicable), billed monthly in advance in pounds sterling via our payment provider (Stripe). Subscriptions renew automatically until cancelled. A Business may cancel at any time, effective at the end of the current paid month; fees already paid are non-refundable except where required by law. We may suspend the service for non-payment after reasonable notice.

5. Business responsibilities

The Business is responsible for: the accuracy of its services, hours, pricing and booking rules; honouring bookings Remi makes; complying with all laws applicable to its trade or practice; and acting as the data controller under the UK GDPR and the Data Protection Act 2018 for its customers' and patients' personal data.

6. Acceptable use

You may not use Remi to break the law, send spam or unlawful marketing, harass any person, attempt to disrupt or reverse-engineer the service, or process personal data without a lawful basis.

7. Privacy

Our handling of personal data is described in our Privacy Policy. For Businesses, our Data Processing Agreement governs our processing of customer and patient data on the Business's behalf as processor under Article 28 UK GDPR.

8. AI limitations

Remi uses automated AI systems that can occasionally be wrong, misunderstand, or be unavailable. The Business should review important bookings and keep a human fallback for urgent or clinical matters. End Users should confirm appointment details with the business and not rely on Remi for medical or emergency needs — in an emergency, call 999.

9. Availability

We aim for high availability but do not guarantee uninterrupted service. Planned maintenance, third-party outages (e.g. Twilio, WhatsApp, our AI provider) and events beyond our reasonable control may affect the service.

10. Liability

To the maximum extent permitted by law, we are not liable for indirect or consequential loss, lost profits, or lost bookings. Our total liability to a Business in any 12-month period is limited to the fees that Business paid us in that period. Nothing in these terms excludes liability that cannot be excluded by law, including liability for death or personal injury caused by negligence, or your statutory rights under UK consumer law where they apply.

11. Termination

Either party may terminate for material breach not remedied within 14 days of written notice. On termination we will, on request, delete or return personal data as set out in the Data Processing Agreement.

12. Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, save that consumers retain any mandatory protections of their home jurisdiction.
